Minister Patricia de Lille dissolves South African Tourism Board citing governance failures, unlawful actions

The decision followed a special board meeting held on 1 August 2025, which legal counsel later confirmed had been convened unlawfully.

SOUTH AFRICA – Minister of Tourism Patricia de Lille has dissolved the South African Tourism (SA Tourism) Board with immediate effect, citing serious governance failures and unlawful decision-making.

The move follows concerns about the Board’s recent actions and its failure to comply with statutory governance requirements.

The decision was triggered by a special board meeting convened on 1 August 2025, which legal advice confirmed was unlawfully called.

Under the Tourism Act, only the chairperson has the authority to convene such meetings.

At that time, the Board was without a chairperson after Professor Gregory Davids resigned on 31 July, rendering the 1 August meeting invalid.

Despite repeated warnings and previous assurances from the Board that governance procedures would be followed, Minister de Lille described the meeting and the resolutions passed during it as “unlawful and ultra vires,” meaning they were beyond the Board’s legal power to enact.

After reviewing written representations from the Board members, Minister de Lille formally informed them on 19 August of her decision to dissolve the current Board.

She also invoked section 16(1) of the Tourism Act to remove all sitting Board members, effectively ending their mandate.

This bold step underscores the Ministry’s commitment to restoring proper governance and accountability within SA Tourism, an organization pivotal to South Africa’s tourism sector.

The Minister emphasized that such failures could not be tolerated given the sector’s importance to economic recovery and growth.

The dissolution creates an interim governance vacuum, prompting the need for swift appointment of a new Board to ensure continued oversight and strategic direction for South African Tourism.

Minister de Lille’s actions also send a warning to other statutory bodies about the imperative of adhering strictly to governance standards and legal frameworks.

The Tourism Act provides clear guidelines for Board convening and decision-making processes to prevent irregularities and safeguard organizational integrity, a principle reinforced by this intervention.

As the South African tourism sector navigates post-pandemic recovery, strong leadership and transparent governance structures are vital to rebuilding confidence among stakeholders and global visitors alike.

The Ministry is expected to initiate processes soon to appoint a new Board capable of steering SA Tourism effectively through this crucial period.
